I want to share with you "how to set-up an LLC in Delaware". A few month ago I have set-up my first one.
To find out how to do that as foreigner (German) took me a few days, because there are a lot of scams out there who offer this service.
I think some of you guys can save some time with this informations.

Registered Agent
Every LLC need a Registered Agent. I have chosen Incorp. They take 99$/year for the Registered Agent service. But there is a reseller who offer you the first year free if you create a LLC with Incorp.

1. Select Entity State and Type
Jurisdiction:
-Delaware
Entity Type:
-Limited-Liability Company
2. Enter Entity Information
Please enter the name you would like for your Entity:
-Your-Company-Name LLC (it's important to write LLC or Limited behind your Company name!)
Business Description:
-Any Legal Purpose
Fiscal Year End:
-12/31
Accounting Method:
Cash Basis or Accrual Method
Management Type:
Member Managed (Chose Manager Managed if the manager is not a member)
3. Enter Entity Principals
-Click add.
Principal Type:
- Individual (Chose Company if you want that an existing LLC or Corp manage this LLC)
- Enter your name and select manager.
4. Enter Account Contact Information
Enter your informations
5. Enter Payment Information
Enter your payment informations
6. Select Services and Submit Order
- Select "1 Year @ $0.00/yr (FREE) (Service to x)"
- If you need extras, you can chose things like: "Delaware Certificate of Good Standing for a Limited-Liability Company" or IRS Options to open a bank account for your LLC.
- Select Shipping Option
Please type your name here:
- Type your name and sign
After that you will get a mail from Incorp with an attached file called "Articles of Organization" for your new LLC. They have already filled out everything and you just have to sign.
Important!
Always remember to sign any documents on behalf of the LLC using your title as “Member” or “Managing Member” in order to avoid personal liability.
That's it. You can track the forming progress over your Incorp account.
As an American, can you do everything yourself and just need a Registered Agent.
If you are a foreigner or want to save time I recommit this service. The cost will be ~130$ (90$ Delaware Filing Fee + 24$ LLC's Service Fee + Shipping).
