How to value an internet business??

I currently own a mobile text messaging internet company that had launched approximately 1 year ago and has been very successful so far. It has been attracting a lot of media attention and interest nationally in Canada.
I have an interested party who are interested in having the rights to a specific territory and I'm wonder if franchising or providing them with a software licensing agreement would be the route to take. Also, what pricing model would be use to put a value to the company that is commonly being used? Is there a website where I can go to that can provide me with either a standard licensing agreement or a standard franchising agreement template that I can use as a template?
